As President and CEO, led the development of this media business from a single magazine with distribution in Bucks County, Pa., to a media group comprising four regional magazines, an interactive website, an innovative related e-commerce site, and a related convention/conference business. During this period, the magazine became the second highest revenue magazine property in the Delaware Valley with gross revenues approaching $5 million.
CORPORATE ORGANIZATION/BRANDING Concate Technologies, Inc.
Working as an advisor to the Board of Directors, assisted this Systems Integration and Network Services Company in developing and implementing a focused market strategy and product branding plan.
EQUITY PLACEMENT - VENTURE CAPITAL Vertical Alliance, Inc.
Developed revenue model, wrote business plan and assisted start up software company in securing over $2.5 million in first round venture capital financing. Worked with technical, legal and accounting professionals to develop a feasible and fundable revenue model and financial projections.
MANAGEMENT BUY-OUT Hazleton Environmental, Inc.
On behalf of existing management, developed the financial framework for acquiring all of the assets of a manufacturer of proprietary industrial pollution control equipment. Assisted management in negotiations, developing strategic and financial plans, and securing financing.
BANKRUPTCY/REORGANIZATION Valley of Lakes Civic Association
Advised property owners association in the $40 million bankruptcy of a multi-use recreational and resort property development in North-East Pennsylvania. Assisted in the formulation of property owner’s objectives, developed negotiating strategy, led successful negotiations with key creditors, and assisted in negotiating the 'Section 363' sale of assets.
SECURITIES OFFERINGS/IPO Tun Tavern, Inc.
Developed financial structure, drafted all securities filings and supervised adherence to related regulatory requirements in connection with the public offering of equity in this small consumer products company.
PROFIT IMPROVEMENT/ACQUISITION Twin Ponds Family Skating Centers
Assisted ice skating rink developer/owner in improving profitability and cash flow by reorganizing management, identifying and increasing revenues of high margin services, simplifying and implementing better controls of inventories, and assisting in negotiating the acquisition of a competing facility.
